These Terms of Service (these "Terms") describe your rights and responsibilities when accessing and/or using our websites, including https://microestimates.com/ and any successor URL(s) (the "Sites"), any related mobile applications, and all estimation tools and related software, documentation, and online services (collectively, the "Service") provided by MicroEstimates ("MicroEstimates," "we," "our," or "us"). By accessing or using the Service, or by clicking a button or checking a box marked "I Agree" (or something similar), you signify that you have read, understood, and agree to be bound by these Terms, and you acknowledge that you have read and understood our Privacy Notice. These Terms apply to all visitors and users of the Service ("Users," "you," or "your").

IMPORTANT DISCLAIMER: MICROESTIMATES PROVIDES ESTIMATION TOOLS FOR INFORMATIONAL PURPOSES ONLY. ALL ESTIMATES, CALCULATIONS, AND RESULTS PROVIDED BY OUR TOOLS ARE APPROXIMATIONS AND SHOULD NOT BE RELIED UPON FOR MAKING FINANCIAL, BUSINESS, OR OTHER IMPORTANT DECISIONS. WE MAKE NO GUARANTEES ABOUT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY ESTIMATES OR CALCULATIONS PROVIDED BY OUR SERVICE.

PLEASE READ THESE TERMS CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION PROVISION IN SECTION 12.2 AND A CLASS ACTION/JURY TRIAL WAIVER PROVISION IN SECTION 12.3 THAT REQUIRE, UNLESS YOU OPT OUT PURSUANT TO THE INSTRUCTIONS IN THE ARBITRATION AGREEMENT, THE EXCLUSIVE USE OF FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES BETWEEN YOU AND US. YOU EXPRESSLY WAIVE YOUR RIGHT TO SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL ON YOUR CLAIMS, AS WELL AS YOUR RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION OR PROCEEDING.

1. The Service

MicroEstimates provides a suite of estimation tools designed to help users calculate approximate values for various goods, services, projects, and scenarios. These tools are provided for informational and educational purposes only.

1.1 Nature of Estimates

FOR INFORMATIONAL PURPOSES ONLY: All estimates, calculations, and results provided by our estimation tools are approximations based on general data, algorithms, and assumptions. They are provided for informational and educational purposes only and should not be relied upon as precise, accurate, or complete assessments of actual costs, values, or outcomes.

NO GUARANTEE OF ACCURACY: We make no representations, warranties, or guarantees regarding the accuracy, completeness, reliability, or suitability of any estimates or calculations provided by our Service. Actual costs, values, and outcomes may vary significantly from our estimates due to numerous factors including but not limited to market conditions, regional variations, individual circumstances, timing, and unforeseen variables.

NOT PROFESSIONAL ADVICE: Our estimation tools do not constitute professional advice of any kind, including but not limited to financial, legal, business, construction, real estate, healthcare, or investment advice. You should consult with qualified professionals before making any decisions based on estimates provided by our Service.

1.2 Eligibility

This is a contract between you and MicroEstimates. You must read and agree to the terms and conditions of these Terms before using the Service. If you do not agree, you may not use the Service. You may use the Service only if you can form a binding contract with MicroEstimates, and only in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations ("Applicable Law"). The Service is not available to any Users previously removed from the Service by MicroEstimates. You must be at least 13 years of age to use the Service.

1.3 Limited License

Subject to the terms and conditions of these Terms, you are hereby granted a non-exclusive, limited, non-transferable, and freely revocable license to use the Service, only for your personal or internal business use, strictly as permitted by the features of the Service. MicroEstimates may terminate the license granted in this Section at any time, for any reason or no reason. MicroEstimates reserves all rights not expressly granted herein in and to the Service and the MicroEstimates Content (as defined below).

1.4 User Accounts

Your account on the Service ("User Account") gives you access to certain estimation tools and functionality that we may establish and maintain as part of the Service from time to time, in our sole discretion. We may maintain different types of User Accounts for different types of Users. By connecting to the Service via a third-party service (such as Google), you give us permission to access and use your information from that service as permitted by that service, and to store your log-in credentials and/or access tokens for that service.

You may never use another User's User Account without permission. When creating your User Account, you must provide accurate and complete information, and you must keep this information up to date. You are solely responsible for the activity that occurs on your User Account. You must notify MicroEstimates immediately of any breach of security or unauthorized use of your User Account. MicroEstimates will not be liable for any losses caused by any unauthorized use of your User Account.

1.5 Service Rules

You agree not to engage in any of the following prohibited activities:

  • Copying, distributing, or disclosing any part of the Service in a manner that violates these Terms.
  • Using automated systems to access the Service in a manner that exceeds reasonable usage or burdens our infrastructure.
  • Transmitting spam, chain letters, or unsolicited communications.
  • Attempting to compromise the security or integrity of the Service or intercepting transmissions to or from its servers.
  • Uploading invalid data, viruses, worms, or other harmful software agents through the Service.
  • Using the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Misrepresenting estimates from our Service as guaranteed, accurate, or professional assessments.
  • Using our estimates for any purpose where accuracy is critical without obtaining independent verification.
1.6 Changes to the Service

We may, with or without prior notice, change the Service; stop providing the Service or features of the Service; or create usage limits for the Service. We may permanently or temporarily terminate or suspend your access to your User Account and/or the Service with or without notice and without liability, for any reason, including if, in our sole determination, you violate any provision of these Terms.

1.7 Service Location

The Service is controlled and operated from facilities in the United States. MicroEstimates makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are entirely responsible for compliance with all applicable United States and local laws and regulations.

2. User Content and Data

The Service may allow Users to input data for estimation purposes ("User Input Data"). We claim no ownership rights over your User Input Data, and it remains yours. However, you grant us the right to use your User Input Data solely to provide the estimation services and improve our algorithms, provided that we do not share your individual data with third parties. We may share anonymized usage analytics with third-party services (such as Vercel, PostHog, and others) solely to improve our application, but this does not include your specific estimation inputs or results.

You are responsible for ensuring that any data you input into our estimation tools is accurate and that you have the right to use such data. You understand that the quality and accuracy of our estimates depend largely on the quality and accuracy of the data you provide.

3. Disclaimers and Limitations

3.1 Estimation Accuracy

NO WARRANTY OF ACCURACY: WE EXPRESSLY DISCLAIM ANY WARRANTY, REPRESENTATION, OR GUARANTEE REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR CURRENCY OF ANY ESTIMATES, CALCULATIONS, OR RESULTS PROVIDED BY OUR SERVICE. ALL ESTIMATES ARE APPROXIMATIONS BASED ON LIMITED DATA AND GENERAL ASSUMPTIONS.

FACTORS AFFECTING ACCURACY: Estimates may be affected by numerous factors including but not limited to: market fluctuations, regional variations, seasonal changes, economic conditions, regulatory changes, technological advances, individual circumstances, and other variables that cannot be predicted or accounted for in our algorithms.

3.2 User Responsibility

INDEPENDENT VERIFICATION REQUIRED: You acknowledge and agree that you are solely responsible for verifying any estimates or calculations provided by our Service through independent sources and professional consultation before making any decisions or taking any actions based on such estimates.

NO RELIANCE: You agree that you will not rely solely on our estimates for any financial, business, personal, or other important decisions. You understand that our estimates are starting points for your own research and analysis, not final determinations.

4. DMCA Notice

Since we respect artist and content owner rights, it is MicroEstimates's policy to respond to alleged infringement notices that comply with the Digital Millennium Copyright Act of 1998 ("DMCA").

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Service, please notify MicroEstimates's copyright agent as set forth in the DMCA. For your complaint to be valid under the DMCA, you must provide the following information in writing:

  1. an electronic or physical signature of a person authorized to act on behalf of the copyright owner;
  2. identification of the copyrighted work that you claim has been infringed;
  3. identification of the material that is claimed to be infringing and its location on the Service;
  4. information reasonably sufficient to permit MicroEstimates to contact you, such as your address, telephone number, and e-mail address;
  5. a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or law; and
  6. a statement, made under penalty of perjury, that the above information is accurate, and that you are the copyright owner or are authorized to act on behalf of the owner.

5. Our Proprietary Rights

Except for your User Input Data, the Service and all materials therein, including software, algorithms, estimation models, images, text, graphics, logos, patents, trademarks, service marks, copyrights, and other content (the "MicroEstimates Content"), and all Intellectual Property Rights related thereto, are the exclusive property of MicroEstimates and its licensors. Nothing in these Terms will be deemed to create a license in or under any such Intellectual Property Rights, and you will not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works of any MicroEstimates Content.

6. Paid Services

6.1 Billing Policies

Certain aspects of the Service may be provided for a fee or other charge. If you elect to use paid aspects of the Service, you agree to the pricing and payment terms. MicroEstimates may add new services for additional fees and charges, and may add or amend fees and charges for existing services, at any time, in its sole discretion.

6.2 Subscriptions and Payments

Subscriptions will automatically renew unless cancelled. You expressly acknowledge and agree that MicroEstimates and/or its third-party payment processors (including Stripe) are authorized to charge you the applicable subscription fees and any other charges you may incur in connection with your use of the Service.

To cancel any subscription, you must contact us at support@microestimates.com before your next billing cycle. Purchases are generally non-refundable, though MicroEstimates may provide refunds at its sole discretion.

7. Privacy

We care about the privacy of our Users. You understand that by using the Services you acknowledge that you have read and understood our Privacy Notice, which explains how your personal information is collected, used, and disclosed by MicroEstimates.

8. Security

MicroEstimates cares about the integrity and security of your personal information. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.

9. Third-Party Links and Information

The Service may contain links to third-party materials that are not owned or controlled by MicroEstimates. MicroEstimates does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. You expressly relieve MicroEstimates from any and all liability arising from your access to or use of any third-party website, service, or content.

10. Release and Indemnity

You agree to defend, indemnify, and hold harmless MicroEstimates and its affiliates, and its and their respective licensors, employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including, but not limited to, attorneys' fees) arising from: (a) your use of the Service and any decisions or actions you take based on estimates provided by the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right; (d) your violation of any Applicable Law; (e) any content that you submit via your User Account; or (f) your willful misconduct.

IMPORTANT: This indemnification specifically includes any claims, losses, or damages arising from your reliance on estimates provided by our Service or any decisions you make based on such estimates.

11. No Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, THE MICROESTIMATES CONTENT, AND ANY ESTIMATES OR CALCULATIONS PROVIDED BY THE SERVICE ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

SPECIFIC DISCLAIMER FOR ESTIMATES: WE EXPRESSLY DISCLAIM ANY WARRANTY THAT OUR ESTIMATES WILL BE ACCURATE, RELIABLE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. WE DO NOT WARRANT THAT OUR ESTIMATION TOOLS WILL MEET YOUR REQUIREMENTS OR THAT ESTIMATES WILL BE ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MICROESTIMATES OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE, AND/OR ANY ESTIMATES OR CALCULATIONS PROVIDED BY THE SERVICE.

SPECIFIC LIMITATION FOR ESTIMATION ERRORS: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MICROESTIMATES ASSUMES NO LIABILITY FOR ANY DECISIONS YOU MAKE BASED ON ESTIMATES PROVIDED BY OUR SERVICE, ANY INACCURACIES IN SUCH ESTIMATES, OR ANY LOSSES OR DAMAGES RESULTING FROM YOUR RELIANCE ON SUCH ESTIMATES.

In no event will MicroEstimates be liable to you for any claims in an amount exceeding the amount you paid to MicroEstimates in the twelve (12) months preceding the claim or $50.00, whichever is greater.

13. Governing Law, Arbitration, and Class Action/Jury Trial Waiver

13.1 Governing Law

These Terms will be governed by the internal substantive laws of the State of Delaware, without respect to its conflict of laws principles. You agree to submit to the exclusive personal jurisdiction of the federal and state courts located in Delaware for any actions for which we retain the right to seek injunctive or other equitable relief.

13.2 Arbitration

Any dispute, controversy, or claim between you and MicroEstimates that arises out of or relates to these Terms or your use of the Service will be resolved exclusively through binding arbitration by the American Arbitration Association ("AAA") before a single arbitrator.

If you are a new User, you can reject and opt-out of this Arbitration Agreement within thirty (30) days of accepting these Terms by emailing MicroEstimates at legal@microestimates.com with your full, legal name and stating your intent to opt-out of this Arbitration Agreement.

13.3 Class Action/Jury Trial Waiver

ANY CLAIM MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. YOU AND MICROESTIMATES AGREE THAT YOU ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO BRING, JOIN, OR PARTICIPATE IN A CLASS ACTION.

14. General

14.1 Changes to these Terms

MicroEstimates may modify these Terms from time to time. When we change these Terms in a material manner, we will update the 'last modified' date at the top of this page and notify you that material changes have been made to these Terms. Your continued use of the Service after any such change constitutes your acceptance of the new Terms of Service.

14.2 Entire Agreement

These Terms, together with our Privacy Notice and any additional agreements you may enter into with MicroEstimates in connection with the Service, will constitute the entire agreement between you and MicroEstimates concerning the Service.
